THE FAJIRI PROGRAM MEMBERSHIP AGREEMENT (FPM)

This Fajiri Program Membership Agreement (the “Agreement”) is entered into by and between The Fajiri Family Relief Foundation (“FFRF,” “Fajiri,” “Organization,” “we,” “us,” or “our”) and the individual or entity registering for or upgrading to a Fajiri Program Membership (“Member,” “you,” or “your”).

1. Acceptance of Agreement

By registering for or participating in the FFRF membership Program, you:

  • Confirm that you have read and understood this Agreement in its entirety.
  • Agree to comply with all applicable FFRF policies, including but not limited to:
    • Our Principles of Loyalty and Commitment
    • Our Code of Ethics and Conduct.
    • Our Constitution and By-Laws
    • Onboarding Membership Agreement
    • Fajiri Identified Membership (FIM) Agreement
    • Fajiri Corporate Membership (FCM) Agreement.
    • Donation Refund Agreement
    • Privacy Policy
    • Terms of Use
    • Cookies Policy
    • Membership Participation and Contribution Structure (MPCS)
    • Program Specific Guidelines
    • Acknowledge that this Agreement constitutes a legally binding contract

2. Eligibility

You represent and warrant that:

  • All information provided is accurate, current, and complete.
  • You will promptly update such information as necessary.
  • You align with the vision, mission, values, and objectives of the FFRF.
  • You are at least eighteen (18) years of age or the age of majority in your jurisdiction.
  • You have the legal capacity and authority to enter into this Agreement

3. Membership Participation and Contribution

Your Program Membership provides access to the FFRF programs, subject to eligibility, availability, and program specific requirements, including but not limited to:

  • Celebration Support & Gifting
  • Healthcare & Medical Aid
  • Homecare, Disability & Elderly Support
  • Education & Skills Development
  • Emergency & Disaster Relief
  • Entrepreneur Initiatives & Support
  • Food Security and Agriculture
  • Housing & Shelter Assistance
  • Humanitarian Outreach Programs
  • Immigration & Refugee Settlement
  • Sports Development and Wellness
  • Unfair Treatment & Injustice Advocacy

All membership types, overviews, participation and contribution family groups, and their respective amounts, privileges and benefits are explicitly stated in the Fajiri Membership Participation and Contribution structure (FMPCS).

3.1. Reservation of Rights

The FFRF reserves the right, at its sole discretion, to modify, suspend, restrict, or discontinue any program, service, or feature at any time, with or without notice, to the extent permitted by applicable law.

4. Member Responsibilities

As a condition of membership, you agree to:

  • Renew your program membership contributions annually. Failure to renew within fourteen (14) days of expiration may result in suspension of your membership and loss of access to the FFRF program benefits.
  • Conduct yourself with integrity, professionalism, and respect.
  • Comply with all applicable laws, regulations, and FFRF policies, including internal guidelines and program requirements.
  • Provide accurate and truthful information.
  • Make any required annual contributions prior to accessing applicable benefits.
  • Continue to fulfill required annual contributions while receiving program benefits, where applicable.
  • Where applicable, participate as a voluntary internal donor when engaged in multiple programs.
  • Accept and, where appointed or elected, diligently perform the duties and responsibilities of any voluntary leadership role, including but not limited to Program Coordinator, Program Director, Committee Leader, or other designated positions.
  • Refrain from engaging in any conduct that is fraudulent, abusive, discriminatory, unlawful, or otherwise harmful to FFRF, its Members, or the communities it serves.
  • Protect and safeguard all confidential, sensitive, and proprietary information belonging to FFRF or its Members

5. Contributions and Payments

  • Contributions are voluntary unless explicitly stated otherwise.
  • Any required fees will be clearly disclosed prior to payment.
  • Payments shall be processed through approved third-party providers.

5.1 No Refund Policy

Except where required by applicable law, all payments are final and non-refundable.

6. Transparency and Accountability

The FFRF is committed to reasonable transparency and accountability regarding:

  • Program structure and administration.
  • Organizational governance.
  • General allocation and use of funds.
  • Such disclosures will be made in accordance with internal policies and applicable laws.

7. Privacy and Data Protection

By registering, you consent to:

  • The collection, use, and processing of your personal information for membership administration and program delivery.
  • Receiving communications related to your membership and participation.

FFRF agrees to:

  • Implement reasonable administrative, technical, and physical safeguards.
  • Protect personal information in accordance with applicable privacy laws (including, where applicable, GDPR, CCPA, or Canadian privacy legislation such as PIPEDA).

8. Intellectual Property

All content, materials, trademarks, and resources provided by FFRF remain the exclusive property of FFRF or its licensors.

You may not, without prior written consent:

  • Copy, reproduce, distribute, or modify materials.
  • Create derivative works.
  • Use materials for commercial purposes.

9. Suspension and Termination

The FFRF reserves the right, at its sole discretion, to suspend or terminate membership without prior notice where permitted by law if you:

  • Breach this Agreement or related policies.
  • Provide false or misleading information.
  • Engage in unlawful, unethical, or harmful conduct.

Effect of Termination:

  • Immediate revocation of access to programs, services, and benefits.
  • No entitlement to refunds, except where required by law.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • The FFRF shall not be liable for any indirect, incidental, consequential, or special damages.
  • The FFRF makes no guarantees or warranties regarding program availability, outcomes, or results.
  • Participation in programs is undertaken at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless the FFRF and its board members, directors, officers, representatives, volunteers, donors, and employees, from and against any claims, damages, liabilities, losses, and expenses arising out of:

  • Your breach of this Agreement.
  • Your misuse of programs or services.
  • Your violation of applicable laws or third-party rights

12. Modifications to Agreement

The FFRF reserves the right to amend or update this Agreement at any time. Updated terms will be communicated or made available as appropriate. Your continued participation constitutes acceptance of the revised Agreement.

13. Governing Law and Dispute Resolution

13.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which FFRF is registered, without regard to conflict of law principles.

13.2 Good Faith Negotiation
The parties agree to attempt to resolve disputes through good faith negotiations within thirty (30) days of written notice.

13.3 Mediation
If unresolved, disputes shall be submitted to confidential mediation:

  • Conducted in the jurisdiction of FFRF registration unless otherwise agreed.
  • Costs shared equally unless otherwise agreed.

13.4 Binding Arbitration
If mediation fails:

  • Disputes shall be resolved by binding arbitration, where permitted by law.
  • Conducted by a single arbitrator.
  • Arbitrator selected by agreement or appointed by a recognized arbitration body.
  • Proceedings conducted in English.
  • The decision shall be final and binding

13.5 Exceptions

  • The FFRF may seek injunctive or equitable relief in a court of competent jurisdiction.
  • Either party may bring eligible claims in small claims court.

13.6 Class Action Waiver
To the fullest extent permitted by law, disputes must be resolved on an individual basis. You waive participation in class or collective actions.

13.7 Limitation Period
Claims must be commenced within one (1) year of arising, unless otherwise required by law.

14. Force Majeure

The FFRF shall not be held liable or responsible for any failure or delay in the performance of its obligations under this Agreement due to events beyond its reasonable control, including but not limited to:

  • Natural disasters (e.g., floods, earthquakes, pandemics).
  • Acts of government or regulatory authorities.
  • War, terrorism, civil unrest, or strikes.
  • Power outages, internet disruptions, or system failures

During such events, FFRF’s obligations shall be suspended for the duration of the force majeure condition. FFRF will make reasonable efforts to resume operations as soon as practicable.

15. Independent Relationship (No Partnership)

Nothing in this Agreement shall be construed to create:

  • A partnership, joint venture, or agency relationship.
  • Employment or fiduciary relationship between FFRF and the Member.

Members participate voluntarily and act in their individual capacity unless expressly authorized in writing by the FFRF.

16. Financial Transparency and Audit Rights

The FFRF is committed to financial integrity and accountability. Accordingly:

  • The FFRF may publish periodic summaries or reports on the general use of funds.
  • Internal or external audits may be conducted at the FFRF’s discretion

Members do not have automatic rights to access confidential financial records but may receive summarized disclosures in line with transparency policies.

17. Tiered Membership Structure

The FFRF may operate multiple membership tiers, including but not limited to:

  • Fajiri Identified Membership (FIM)
  • Fajiri Program Membership (FPM)
  • Other advanced or specialized tiers

Each tier may have:

  • Different eligibility requirements.
  • Contribution expectations.
  • Access to benefits and programs.
  • Upgrading or downgrading between tiers may be subject to additional terms, approvals, or conditions.

18. Compliance with Laws and International Use

Members agree to comply with all applicable local, national, and international laws, including but not limited to:

  • Anti-fraud and anti-corruption laws.
  • Anti-money laundering (AML) regulations.
  • Sanctions and export control laws.
  • FFRF reserves the right to restrict or terminate access in jurisdictions where participation may violate applicable laws or regulatory requirements.

19. Non-Transferability

Membership rights and obligations under this Agreement are:

  • Personal to the Member.
  • Non-transferable, non-assignable, and may not be delegated without prior written consent from the FFRF.

20. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction:

  • The remaining provisions shall remain in full force and effect.
  • The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

21. No Waiver

Failure by the FFRF to enforce any right or provision under this Agreement shall not constitute:

  • A waiver of such right or provision.
  • A waiver of any future enforcement.
  • All waivers must be made in writing.

22. Notices

All official notices under this Agreement shall be:

  • Delivered electronically (e.g., email, platform notification), or
  • Posted within the FFRF platform or official website.
  • Such notices shall be deemed received within a reasonable timeframe after transmission or publication.

23. Language

This Agreement is drafted in English. In the event of translation into other languages: The English version shall prevail in case of conflict or inconsistency

24. Survival of Terms

The following provisions shall survive termination or expiration of this Agreement:

  • Limitation of Liability.
  • Indemnification.
  • Intellectual Property.
  • Dispute Resolution.
  • Any other provisions intended by their nature to survive.

Entire Agreement

This Agreement constitutes the entire agreement between you and the FFRF and supersedes all prior agreements, communications, or understandings.

  • Agree it has the same legal effect as a handwritten signature
