ONBOARDING MEMBERSHIP AGREEMENT

This Onboarding Membership Agreement ("Agreement") is entered into between:

Fajiri Family Relief Foundation (FFRF), a family-oriented non-profit organization engaged in humanitarian, social impact, and community development and outreach programs aimed at fostering love, care, and mutual support among vulnerable individuals and families worldwide, (hereinafter referred to as "FFRF" or the "Foundation"), and

The individual registering as an Active Member ("Member"). By registering, accessing, or using FFRF platforms, the Member agrees to be bound by this Agreement.

1. THE ORGANIZATION NATURE

1.1. THE FAJIRI FAMILY RELIEF FOUNDATION is a global organization dedicated to uniting individuals and communities, especially those of African descent, to improve and transform lives through love, care, and mutual support. The foundation serves as a supportive platform where active Members connect, contribute, collaborate, and participate in the following outreach programs and initiatives that address social, economic, and community needs, thereby empowering individuals and families to grow, succeed, and thrive together:

  • Celebration Support & Gifting
  • Healthcare & Medical Aid
  • Homecare, Disability & Elderly Support
  • Education & Skills Development
  • Emergency & Disaster Relief
  • Entrepreneur Initiatives & Support
  • Food Security and Agriculture
  • Housing & Shelter Assistance
  • Humanitarian Outreach Programs
  • Immigration & Refugee Settlement
  • Sports Development and Wellness
  • Unfair Treatment & Injustice Advocacy

Contributions and donations may also be used for reasonable administrative, operational, compliance, safeguarding, technology, outreach, staffing, or governance costs necessary to support FFRF's mission.

1.2. The FFRF may also support community business startups and struggling entrepreneurs through training, mentorship, and hands-on assistance as part of its mission to promote economic empowerment, self-sufficiency, and community development. These programs and projects are designed to serve a broad public benefit and are offered based on fair and inclusive criteria.

1.3. Participation in FFRF programs, projects, initiatives, and activities does not require payment of any fee or contribution. The Foundation may accept voluntary donations, optional annual membership contributions, sponsorships, fundraising proceeds, and revenue generated through the online or physical sale of its branded merchandise to support its charitable activities and operations.

Such contributions and purchases are entirely voluntary and are not a condition for accessing services, receiving assistance, participating in programs, or benefiting from the Foundation's charitable activities. No individual shall be denied participation or access to the Foundation's programs and services solely because they choose not to make a contribution, donation, or purchase.

1.4. Non-Profit and Non-Financial Services Declaration (Important Disclaimer).

The Foundation is Not:

  • An investment company.
  • A financial institution.
  • A real estate firm.
  • A securities issuer.
  • A network marketing or profit-generating scheme.

1.5. The FFRF may provide a digital record system to track voluntary contributions and support between Members. The FFRF does not hold, control, or operate as a financial custodian of Member funds. The FFRF does not act as a financial intermediary, escrow agent, or trustee of funds. Members expressly acknowledge that:

  • Participation in FFRF is voluntary and should not be undertaken with the expectation of financial gain. Individuals may participate as Inactive/Dormant (Onlooker), Active (Contributing), or Lifetime (Brand Ambassador), Honorary (Advisory/Fajirian) participants. Membership may be revoked or voluntarily renounced at any time. Upon such revocation or renunciation, all privileges, benefits, entitlements, and membership-related rights shall terminate immediately.
  • Any support received is community-based assistance only.
  • All contributions, gifts, and donations are voluntary, non-commercial, and non-refundable, and are not made with any expectation of profit, return, or financial gain.
  • Member personal connections, followers, networks and/or referrals are intended solely for community expansion and outreach. Such activities do not entitle Members to any form of financial compensation, commissions, incentives, or structured rewards. However, the Foundation's Brand Ambassadors are eligible for financial compensation in recognition of their humanitarian outreach and referral efforts. This compensation supports the promotion of FFRF brands, programs, and initiatives worldwide through channels such as social media, blogging, content creation, word-of-mouth advocacy, print media, radio, television, podcasts, and other approved promotional platforms and communication tools.
  • Any support provided through FFRF programs shall be determined solely on the basis of humanitarian need, program eligibility criteria, activities ranking, and the Foundation's charitable objectives, and shall not be linked to, influenced by, or contingent upon any referral activity.
  • Members shall not represent, suggest, or imply—whether directly or indirectly—that referrals will result in any personal benefit, preferential treatment, or advantage within FFRF programs.
  • Any gifting or support received is unsolicited, voluntary, and not guaranteed, and shall not be interpreted as income, compensation, or return on participation.
  • Compensation shall never be calculated based on recruitment of members, donations received from recruited members, or any multi-level marketing structure.

2. ELIGIBILITY AND REGISTRATION

2.1. Membership Eligibility. To become an Active Member of FFRF, an individual must:

  • Be at least eighteen (18) years of age;
  • Provide accurate, complete, and verifiable identification and information as required by FFRF;
  • Successfully complete any applicable Know Your Customer (KYC) and Anti-Money Laundering (AML) checks and ongoing compliance requirements;
  • Be financially independent, committed, and capable of making voluntary contributions without causing personal or financial hardship;
  • Demonstrate a genuine humanitarian and charitable intent aligned with the mission and core values of FFRF;
  • Have no criminal record, and not have been charged with, convicted of, or found guilty of any serious criminal offense, subject to applicable laws and rehabilitation considerations;
  • Or Not have been convicted of any offence that FFRF reasonably determines would present a safeguarding, fraud, security, reputational, or operational risk to the Foundation.
  • Not be, and not have previously been, a member, supporter, sponsor, affiliate of, or otherwise associated with, nor acting on behalf of, any recognized criminal, prohibited, or terrorist organization.

2.2. Registration Process. Membership applications must be submitted through the channels designated by FFRF, and the FFRF reserves the right to approve or reject applications at its sole discretion, without providing a reason.

2.3. Continuing Eligibility. Members must continue to meet the eligibility criteria set out in Section 2.1 throughout their membership. FFRF reserves the right to suspend or terminate membership if a member is found to be in breach of any of the above requirements.

2.4. Verification and Discretion. The FFRF reserves the right to request additional documentation or information at any time to verify eligibility and compliance. FFRF may, at its sole discretion and to the extent permitted by law, accept, reject, or revoke membership without obligation to provide reasons.

3. MEMBERSHIP TYPES

3.1. Types and Routes

The FFRF membership is divided into the following broad types and routes, including but not limited to:

  • The Fajiri Identified Members (FIM)
  • The Fajiri Program Members (FPM)
  • The Fajiri Corporate Members (FCM)

3.2. Roles and Responsibilities. Members may serve in various roles, including but not limited to leadership, coordination, collaboration, sponsorship, brand ambassadors, or volunteer positions. Assignment to any role shall be subject to selection, appointment, or election, as determined at the sole discretion of the FFRF in accordance with its policies and governing procedures.

3.3. Flexibility. The FFRF reserves the right to create, modify, or remove membership types, participation, contribution levels, and roles at any time, provided that such changes are communicated to members in writing.

4. MEMBER OBLIGATIONS

4.1. The Member agrees to:

  • Act in good faith and uphold the core values of the FFRF, guided by the acronym GIFT PLC-T ("We Give Publicly Together"), as a principle of collective support and community engagement.
  • Avoid fraudulent, misleading, or harmful conduct.
  • Comply with all applicable laws and regulations within their jurisdiction.
  • Maintain the confidentiality of all sensitive or proprietary information obtained through participation in FFRF activities.
  • Use the platform solely for lawful humanitarian and charitable purposes.
  • Engage in fundraising activities only where authorized and in compliance with FFRF policies and applicable laws.
  • Support the Foundation's activities through voluntary contributions or participation, at their sole discretion and without obligation.

4.2. The Member shall not:

  • Engage in Ponzi schemes or deceptive financial practices.
  • Misrepresent FFRF for personal gain.
  • Solicit funds outside approved FFRF channels and platforms.

5. CONTRIBUTIONS AND PAYMENTS

5.1 Voluntary Contributions

Membership contributions, donations, and other payments made to FFRF are voluntary and are intended to support FFRF's charitable activities, programs, projects, and initiatives, unless expressly stated otherwise. Annual contribution levels are categorized into four (4) distinct Family Groups based on membership participation and contribution levels, with corresponding privileges and benefits, namely:

  • Bronze Family Group
  • Silver Family Group
  • Gold Family Group
  • Platinum Family Group

However, FFRF reserves the right to establish, modify, suspend, or discontinue Family Group categories, contribution thresholds, privileges, and benefits at any time.

All Annual Contributions and Donations:

  • Are voluntary and non-compulsory;
  • Are made in support of FFRF's mission, objectives, programs, projects, and charitable initiatives and shall be used exclusively to advance FFRF's mission, including programs and initiatives that benefit members, volunteers, donors, and beneficiaries in need;
  • Are non-refundable, except where required by applicable law or as explicitly agreed in writing by FFRF.
  • Do not constitute investments, deposits, securities, or equity interests in FFRF;
  • Do not entitle contributors to ownership, profit-sharing, dividends, or financial returns from FFRF's activities;
  • Are subject to the terms, privileges, and benefits applicable to the relevant Family Group; and
  • Shall be used and administered in accordance with FFRF's governing policies, applicable laws, and charitable objectives.

5.2 Member Responsibilities. Members acknowledge and agree that they are solely responsible for:

  • Complying with any tax reporting obligations applicable in their jurisdiction with respect to contributions or donations;
  • Reporting any suspected abuse, fraud, or misuse of FFRF resources, including misuse of funds, activities, or programs.

5.3. No Consideration. Contributions to FFRF are made voluntarily and do not create any expectation of financial or material return. Members understand that donations do not confer ownership, profit-sharing, or control over FFRF operations.

5.4. Conflict of Interest. Members serving in leadership, ambassadorial, fundraising, sponsorship, advisory, or decision-making roles shall disclose actual or potential conflicts of interest.

6. FUNDRAISING AND FINANCIAL ACTIVITIES

6.1. Fundraising campaigns require prior approval. The FFRF does not guarantee funding outcomes. All transactions may be subject to:

  • Monitoring
  • Compliance checks
  • Anti-money laundering regulations

6.2. The FFRF reserves the right to:

  • Suspend or restrict access to platform features associated with suspicious activity and report such activity to relevant authorities.
  • Report illegal activities to authorities.
  • Banned and revoke membership privileges.

7. BENEFITS DISCLAIMER

7.1. Membership benefits, including but not limited to gifting, support services, insurance coverage, or travel assistance:

  • No Guaranteed Rights: Membership benefits are provided at the sole discretion of the FFRF, fellow members, Fajiri Corporate Members Partners (FCM) and their service providers and do not constitute a guaranteed entitlement.
  • Regional Variations: Availability, scope, and terms of benefits may vary depending on the member's location or jurisdiction.
  • Modifications and Withdrawal: the FFRF Corporate Members and their service providers reserve the right to modify, suspend, or terminate any benefit at any time, without prior notice. By participating in the membership program, members acknowledge and agree to these terms and conditions.

8. DATA PRIVACY AND SECURITY

8.1 Compliance with Laws. The FFRF shall collect, process, store, and use personal data of members, coordinators, sponsors, donors, beneficiaries, volunteers, and other stakeholders in accordance with all applicable data protection and privacy laws, including but not limited to the GDPR, PIPEDA, CCPA, NDPA and any relevant local legislation.

8.2 Purpose Limitation. Personal data shall be collected and used solely for purposes related to FFRF's charitable activities, membership contributions, gifting, sponsorships, fundraising campaigns, donor engagement, and statutory reporting obligations.

8.3 Security Measures. FFRF shall implement reasonable administrative, technical, and physical safeguards designed to protect personal data from unauthorized access, disclosure, alteration, or destruction.

8.4 Limitation of Liability. While FFRF takes commercially reasonable steps to protect personal data, no security system is completely secure. FFRF shall not be liable for unauthorized access, use, or disclosure of personal data occurring beyond its reasonable control, including breaches caused by cyberattacks, third parties, or other unforeseen circumstances.

8.5 Data Retention. Personal data shall be retained only for as long as necessary to fulfill the purposes for which it was collected, or as required by applicable law. Once no longer needed, personal data shall be securely deleted or anonymized.

8.6 Breach Notification. In the event of a confirmed data breach affecting personal data, FFRF shall promptly notify affected individuals and, where required, relevant regulatory authorities, and take reasonable steps to mitigate any resulting harm.

9. INTELLECTUAL PROPERTY

9.1 Ownership. All materials, content, branding, logos, designs, software, databases, publications, and other resources created, developed, or maintained by FFRF ("FFRF Materials") are the exclusive property of FFRF. Nothing in this Agreement grants members, directors, coordinators, sponsors, donors, volunteers, or other stakeholders any ownership or intellectual property rights in FFRF Materials.

9.2 Restrictions on Use. Members, representatives and other affiliates shall not, without prior written consent from FFRF:

  • Reproduce, copy, distribute, publish, display, or create derivative works of any FFRF Materials;
  • Use FFRF branding, logos, trademarks, or other identifiers for personal, commercial, or unauthorized purposes;
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices on FFRF Materials.
  • Members shall not: scrape databases, copy member directories, use bots, reverse engineer software or harvest contact information.

9.3 Authorized Use. The FFRF may grant limited permission for use of its materials or branding (e.g., for volunteer activities, fundraising campaigns, or awareness events). Such use must comply strictly with the terms and purposes approved by FFRF.

9.4 Enforcement. FFRF reserves the right to take legal or other appropriate action to protect its intellectual property rights, including seeking injunctive relief or damages for unauthorized use.

10. TERMINATION AND SUSPENSION

10.1. Suspension or Termination. The FFRF may, at its sole discretion, suspend or terminate a Member's membership immediately upon written notice for any of the following reasons:

  • Breach of any term or condition of this Agreement;
  • Engagement in illegal, fraudulent, or unethical conduct, including activities contrary to the mission, values, or charitable purposes of FFRF;
  • Where the FFRF reasonably determines that such action is necessary to protect the integrity, safety, or lawful operations of FFRF, including safeguarding donors, volunteers, beneficiaries, or the NGO's reputation; or
  • Where a Member becomes dormant or inactive, including failure to attend general membership meetings (physically or online), mutually support, contribute, or provide monetary gifts to a family member as agreed under the terms of membership.

10.2. Effect of Termination. Upon termination of membership for any reason:

  • The Member's access to FFRF's platform, services, events, and programs shall be immediately revoked;
  • All rights, privileges, and benefits associated with membership, including participation in fundraising activities, programs, or related opportunities, shall immediately cease; and
  • Any obligations of the Member under this Agreement that are intended to survive termination, including confidentiality, indemnification, or payment of any outstanding contributions or dues, shall remain enforceable. Confidentiality obligations shall survive termination of membership indefinitely or until information becomes public through lawful means.

10.3. No Liability. The FFRF shall not be liable to any Member or third party for any suspension or termination of membership, including any loss of access, participation, benefits, or status, provided such suspension or termination is consistent with this Agreement and applicable non-profit laws and regulations.

10.4 Optional Reinstatement. At FFRF's discretion, a terminated Member may apply for reinstatement. Such reinstatement may be subject to conditions, including corrective actions, compliance assurances, or approval by FFRF's governing body. Notwithstanding reinstatement, a Member who has been terminated or ceases to be a Member may lose their ranking position, and no guarantee of restoration of prior rank or status is provided.

11. LIMITATION OF LIABILITY

11.1. To the maximum extent permitted by law, the FFRF shall not be liable for any damages arising from participation in, use of, or reliance on FFRF programs, services, or fundraising activities, including but not limited to:

  • Indirect, incidental, consequential, or punitive damages;
  • Loss of donations, contributions, funds, data, or opportunities;
  • Any other loss not directly caused by FFRF's gross negligence or willful misconduct.

11.2. In no event shall the Foundation's total liability to any Member, donor, volunteer, or participant exceed the amount contributed by such person to FFRF, if any. This limitation applies regardless of the legal theory under which a claim is brought, whether in contract, tort, or otherwise.

12. INDEMNIFICATION

12.1. Member/Donor/Volunteer Obligations. The Member, Donor, or Volunteer (collectively, "Participant") shall indemnify, defend, and hold harmless the FFRF, its affiliates, officers, directors, coordinators, sponsors, employees, agents, and representatives (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees and legal costs, arising out of or relating to:

  • Any misuse or unauthorized use of FFRF's platform, programs, fundraising activities, or events by the Participant;
  • Any violation of applicable laws, regulations, or third-party rights by the Participant, including intellectual property, privacy, or contractual rights;
  • Any breach of this Agreement or FFRF policies by the Participant.

12.2. Survival and Defense Rights. The Participant's obligations under this section shall survive the termination or expiration of this Agreement. The FFRF reserves the right, at its discretion, to assume the exclusive defense and control of any matter subject to indemnification. In such cases, the Participant shall cooperate fully with FFRF in asserting any available defenses.

13. DISPUTE RESOLUTION

13.1. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the parties shall first attempt to resolve the matter in good faith through direct negotiation.

13.2. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the dispute to mediation administered by a mutually agreed-upon mediator, unless the parties agree otherwise in writing. The costs of mediation shall be shared equally between the parties unless otherwise agreed.

13.3. If the dispute remains unresolved following mediation, either party may submit the dispute to a court of competent jurisdiction in the governing region specified in this Agreement. Each party consents to the jurisdiction and venue of such courts and waives any objection based on forum non conveniens.

13.4. Nothing in this clause shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its rights prior to, during, or after mediation.

14. GOVERNING LAW

This Agreement shall be governed and interpreted as follows:

  • For Members residing in Nigeria: the laws of the Federal Republic of Nigeria shall apply.
  • For Members residing outside Nigeria: the laws of the Province of British Columbia, Canada shall apply.

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the applicable governing law jurisdiction.

15. AMENDMENTS

15.1. The FFRF reserves the right, in its sole discretion, to modify, amend, or update this Agreement at any time. Any such amendments shall become effective upon posting the revised Agreement on the platform or upon providing notice to Members by any reasonable means, including electronic communication, unless otherwise required by applicable law.

15.2. The FFRF will use reasonable efforts to notify Members of any material changes to this Agreement. Members are responsible for reviewing this Agreement periodically to remain informed of any updates.

15.3. Continued access to or use of the platform by a Member following the posting or notification of any amendments shall constitute the Member's acknowledgment of and agreed to be bound by the revised terms.

15.4. If a Member does not agree to any amended terms, the Member must immediately cease all use of the platform and may terminate their membership in accordance with this Agreement.

16. GENERAL PROVISIONS

16.1. Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

16.2. Assignment: The Member may not assign, transfer, or delegate any rights or obligations under this Agreement without the prior written consent of the Foundation. The FFRF reserves the right to assign or transfer this Agreement, in whole or in part, where necessary for operational or legal purposes.

16.3. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements, representations, or communications, whether written or oral, relating to its subject matter.

16.4. Force Majeure: FFRF shall not be liable for delays, interruptions, suspension of programs, or inability to provide services caused by circumstances beyond its reasonable control including natural disasters, pandemics, cyberattacks, governmental actions, wars, civil unrest, or failures of telecommunications systems.

16.5. Safeguarding: Members shall comply with all safeguarding, child protection, anti-harassment, and vulnerable-person protection policies adopted by FFRF.

16.6. Media Consent: FFRF may photograph, record, livestream, or document activities for educational, promotional, fundraising, reporting, and archival purposes, subject to applicable privacy laws.

16.7. Non-Disparagement Language: Members shall refrain from knowingly making false or misleading statements that could materially damage the reputation, operations, or charitable mission of FFRF.

17. NO AGENCY, PARTNERSHIP, OR AUTHORITY

17.1. No Partnership or Agency Relationship. Nothing in this Agreement shall be deemed, construed, or interpreted to create or constitute any partnership, joint venture, employment, fiduciary, or agency relationship between FFRF and any Member. Members participate solely in an independent capacity and shall not be considered employees, agents, or representatives of FFRF for any purpose.

17.2. No Authority to Bind FFRF. No Member shall have any authority to bind, obligate, or otherwise commit FFRF to any agreement, liability, or obligation of any kind, whether contractual or otherwise, except where such authority has been expressly granted in advance by FFRF in a written instrument duly executed by an authorized officer or director of FFRF. Any purported act or commitment made without such express written authorization shall be null, void, and not binding upon FFRF.

17.3. No Representation of Authority. No Member shall represent, imply, or hold themselves out to any third party as having authority to act on behalf of, or bind, FFRF. Each Member shall take reasonable steps to clarify their lack of authority where there is any risk of misunderstanding.

17.4. No Reliance by Third Parties. Any third party dealing with a Member shall be deemed to have notice of the limitations set out in this Section and shall not be entitled to rely on any representation or conduct of a Member as evidence of authority to bind FFRF, unless such authority is expressly confirmed in writing in accordance with Section 17.2.

17.5. Organizational Governance. For greater certainty, only the duly appointed directors and authorized officers of FFRF shall have the authority to make decisions or enter into agreements on behalf of FFRF, subject to its constitution and applicable law.

17.6. Reporting Clause: Members shall promptly report suspected fraud, abuse, safeguarding concerns, corruption, financial misconduct, harassment, discrimination, or violations of FFRF policies.

19. COMPLIANCE WITH LAWS

Members agree to comply with all applicable local, national, and international laws, including but not limited to laws relating to taxation, anti-money laundering, anti-fraud, and charitable activities.

20. ELECTRONIC ACCEPTANCE

By selecting "I Agree," registering an account, or using the FFRF platform, the Member acknowledges that they have read, understood, and agreed to be legally bound by this Agreement and the following onboarding member oath and corporate member pledge.

20.1 – Onboarding Member Oath

I register, accept, and stand today as a proud Member of the Fajiri Family Relief Foundation (FFRF):

  • I pledge to give publicly together;
  • To serve with integrity, love, care, and transparency;
  • To live by faith and trust in God in pursuit of our collective goals;
  • To uplift others and act in unity as one global family;
  • To remain loyal, dedicated, and committed to transforming lives through compassion and action;
  • Together, we grow, succeed, and thrive. So help me God.

And whenever I decide to become or register as a program or Corporate Member, I shall be bound by the following Corporate Membership Pledge.

20.2 – Corporate Member Pledge

I register, accept, and stand as a Corporate or Program Member of the Fajiri Family Relief Foundation (FFRF).

  • I pledge to give and contribute a percentage of my proceeds to support, sponsor, and promote the FFRF's programs and initiatives.
  • I commit to undertaking lawful and legitimate ventures for the benefit of all.
  • I will dedicate a portion of my resources or proceeds to uplift others and to act in unity as one global family.
  • I remain devoted to transforming lives through compassion, generosity, and purposeful action.
  • Together, we grow, succeed, and thrive. So help me God.
